Terms of Business — West Summit Consulting

1. Engagement Terms

All consulting services provided by West Summit Consulting are subject to a signed Statement of Work (SOW). The SOW will out-line the specific deliverables, timelines, and fees for each project phase.

2. Payment Terms

Invoices are issued according to the milestones defined in the SOW. Standard payment terms are 14 days from the date of invoice unless otherwise agreed in writing. We reserve the right to suspend work if payments are overdue.

3. Intellectual Property

Upon full payment of all fees, the client shall own the intellectual property rights to the specific workflow configurations and custom code developed during the engagement. West Summit Consulting retains ownership of its pre-existing tools, methodologies, and frameworks used to deliver the services.

4. Limitation of Liability

West Summit Consulting shall not be liable for any indirect, incidental, or consequential damages arising out of the use of our automated workflows or consulting advice. Our total liability for any claim shall not exceed the total fees paid for the specific project phase giving rise to the claim.

5. Governing Law

These terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
